A graduate of the Faculty of Law of the University of Warsaw (summa cum laude), member of Warsaw Bar, PhD in Economics and PhD (habilitation) in Law, associate Professor at Warsaw School of Economics (Head of the Commercial Law School) and Cardinal Stefan Wyszyński University of Warsaw, Faculty of Law and Administration. Member of Civil Law Codification Commission (until December 2015).
He stayed at renowned foreign academic centres i.a.: the University of Minnesota, Carlson School of Management (visiting professor), University of California – Berkeley, Boalt Hall School of Law (visiting scholar – scholarship holder of the Foundation for Polish Science), and the Max-Planck-Institut für Ausländisches und Internationales Privatrecht in Hamburg (visiting fellow – MPI scholarship holder). Participant of international conferences and symposiums (i.a.Princeton, Stanford, Columbia, New York University and Hong Kong Polytechnic University and Tokyo University).
Professional competencies of Prof. Siemiątkowski at Głuchowski Siemiątkowski Zwara are centred on M&A, restructuring and capital market law, arbitration and corporate law, as well as pharmaceutical law and energy sector.
He has participated in the preparation of the issue prospectus for the first company organized under the foreign law whose stocks were admitted to public trading in Poland, and represented the Polish Confederation of Private Employers “Lewiatan” in the proceedings before the Constitutional Tribunal in the case regarding introduction of the obligation to apply the official margins and the principles of pricing of imported medical drugs, obtaining the verdict in favour of his client. He has also been the first lawyer to develop the concept of dividend payment in bonus shares in the Polish public market.
He has sat on the Supervisory Board of PKO BP SA and been the Chairman of the Board’s Audit Committee and also sat on the Supervisory Board of PLL LOT S.A. and Polbank S.A. He is currently a member of the supervisory board of Polska Grupa Zbrojeniowa S.A., and of the Scientific Group of Advisors at Grupa Kapitałowa PGNiG (major player of Polish energy sector), member of the Supervisory Board at the Royal Bank of Scotland Polska S.A., as well as member of the Rada Fundacji Piłkarstwa Polskiego (Council of the Foundation for Polish Football) and Polish-American Oncology Foundation.
Prof. Siemiątkowski is a member of the Stock Exchange Court at GPW S.A. in Warsaw (Warsaw Stock Exchange) and an arbitrator of the Court of Arbitration at Polish Commercial chamber in Warsaw, Court of Arbitration of the Polish Confederation of Private Employers “Lewiatan” and Court of Arbitration at the Polish Financial Supervision Authority. Tomasz is also a member of the American Law & Economics Association, and founding member of the Polish Association of Law & Economics, member of management board of the Polish Association for Alternative Dispute Resolution and Polish Association of Sports Law.
Tomasz authored two monographs: Prokura w spółkach prawa handlowego, Odpowiedzialność cywilnoprawna w spółkach kapitałowych, and is a co-author and co-editor of a four-volume Commentary on the Polish Code of Commercial Companies (published by LexisNexis) comprising – Spółki osobowe, Spółka z ograniczoną odpowiedzialnością, Spółka akcyjna, Łączenie, podział i przekształcanie spółek, co-author of System Prawa Prywatnego vol. 16 Prawo spółek osobowych ed. by A.
